*New Issue Consultations: Consultations are scheduled exclusively through the membership portal and limited to fifteen (15) minutes each, addressing new legal issues via verbal advice only. These do not include document drafting, research beyond quick verbal guidance, negotiation, or any other substantive work. If further action is required, the attorney shall propose either a flat-fee Project quote or an hourly estimate with a retainer to be established separately. No additional charges apply for the initial consultation(s) within the tier's monthly allotment. Unused consultations expire at the end of each month and do not carry over. ***Library Document Customization: Entitlements reflect the maximum number of library document customizations included per month (zero for lower tiers, one for Advisor, three for GC, five for the highest tier, as applicable). Each customization is strictly limited to reasonable modifications of existing templates from the STBL document library. To initiate a customization, the subscriber must submit, through the membership portal: (i) the specific template selected; (ii) precise facts relevant to the subscriber's circumstances; and (iii) any particular concerns or desired adjustments.

The deliverable consists of: (a) one modified version of the template incorporating the provided instructions; (b) a fifteen (15) minute consultation (scheduled via the portal) to discuss the customized document; and (c) one round of minor revisions based solely on feedback communicated during or immediately following that consultation. This service does not include: complex drafting from scratch, multiple rounds of revisions beyond the single included round, substantive legal research, negotiation support, filings, or adaptations requiring extensive redrafting or novel legal analysis.

Additional customizations beyond the monthly allotment are available at the tiered supplemental rates ($250 per document in lower applicable tiers, $150 in mid-tiers, $50 in the highest tiers). All customizations are performed on a best-efforts basis using the information provided by the subscriber; the firm makes no representations or warranties regarding the suitability of any modified document for the subscriber's specific legal needs or jurisdiction, and the subscriber remains responsible for independent review and consultation as necessary.

****Third Party Contracts Reviewed Per Month: Each monthly entitlement provides one "review block" covering a single third-party contract of up to ten (10) pages. The review includes: (i) a careful analysis of the document; (ii) identification of material legal issues, risks, and key provisions; and (iii) delivery of either a written summary (via email or portal) or a verbal summary during a fifteen (15) minute consultation (scheduled through the portal at the subscriber's election).

For contracts exceeding ten (10) pages, additional review blocks are required on a pro rata basis (for example, a twenty-page contract consumes two blocks; a thirty-page contract consumes three blocks). Page count is determined by the actual number of pages in the provided document, excluding cover pages, signature pages, exhibits, schedules, and attachments unless those materials contain substantive provisions that materially affect the analysis.

The service is strictly limited to independent review and advice. It does not include: negotiation or drafting of counter-proposals; redrafting or markups of the contract; direct communication or advocacy with the counterparty or any third party; filing of any objections or notices; or any other action beyond the initial analysis and consultation. Any negotiation, revision, response preparation, or follow-on work constitutes a separate "Project" and requires a distinct engagement with fees quoted in writing (flat or hourly) and client approval prior to commencement.

All review blocks allocated under the tier are earned on the first business day of each month, must be used within that calendar month, and expire without carryover, credit, refund, or rollover at month-end. The firm performs reviews on a best-efforts basis using the documents and information supplied by the subscriber; no representation is made that the analysis will identify every potential issue or that the contract is suitable for the subscriber's intended purpose. The subscriber remains responsible for independent verification and final decision-making.
